Upon completion of this course, learners will be able to:

• Identify the key differences between the one-tier and two-tier board structures, and recall the primary roles of the four main board committees, including the Audit, Risk, Nomination and Governance, and Compensation Committees.
• Distinguish between the duty of care and the duty of loyalty as components of a director's fiduciary responsibilities, and identify the legal obligations directors must fulfil under corporate governance frameworks.
• Classify the four main types of management structures, including hierarchical, flat, matrix, and network, and identify the key factors that determine which structure is appropriate for a given organisation.
• Recall the three pillars of governance, risk, and compliance (GRC), and identify the mechanisms through which organisations communicate with stakeholders to maintain governance transparency.
