Description
This course is intended for financial executives and advisors whose clients are considering private equity for the purpose of a minority investment, majority investment or management buyout.
It begins by examining how different types of private equity groups assess investment opportunities, including their investment criteria and valuation methodologies. It explains how private equity firms use various tools such as leverage, operational improvements, financial engineering and bolt-on acquisitions to generate sizeable returns.
The course examines how financial executives and advisors can position a company to be an attractive investment target and how to select the right private equity partner. It also highlights the changes that business owners and executives can expect when having a private equity partner, including decision making, reporting and governance requirements.
Finally, the course examines management buyouts, including the various stages of the MBO process, the use of employee share ownership plans, and important provisions of a shareholder agreement. Common challenges and pitfalls in executing an MBO are discussed.

While there are no prerequisites to this course, apart from holding the CPA designation or equivalent level of financial expertise, it is best suited for individuals having a decision-making or influencing role within a private company, such as Controller, Director of Finance, VP Finance, CFO or advisor.
