CPAs review, interpret, and act on contracts throughout their careers. We may also negotiate terms, assess financial commitments, monitor covenants, support transactions, and advise clients or management—but how well do we understand the legal risks behind the wording?
This practical business law session is designed to strengthen the legal knowledge CPAs use in their everyday work.
The legal portion of the session will explore:
- How commercial contracts are structured and how to identify key obligations, deadlines, financial commitments, and missing or unclear terms
- Important clauses involving guarantees, indemnities, liability, termination, renewals, assignment, and change of control
- Financial provisions such as payment terms, holdbacks, penalties, covenants, reporting requirements, and events of default
- How contractual wording may affect accounting, financial reporting, forecasts, valuations, and business decisions
- Practical considerations when negotiating and reviewing contract amendments or redlined agreements
- When legal counsel should be involved and how finance, management, procurement, and legal teams can work together
- Legal considerations in business transactions, including letters of intent, due diligence, earn-outs, working-capital adjustments, and closing obligations
The event features two speakers offering distinct but complementary perspectives:
- A corporate and commercial lawyer will provide practical guidance on contracts, legal risk, negotiations, and business transactions.
- A commercial banking executive will provide the lender’s perspective on financing, due diligence, cash flow, debt capacity, security, and financial covenants.
The evening will also include:
